Unefficient disk formating

Connecting my new Seagate IDE 40Gb hard disk:
fdisk creates a partition of 39078081 blocks
mkfs -t ext2 /dev/hdb1
df -h /dev/hdb1 gives me only 37G available - ( now it is 9.5G used + 25G
Avail = 34.5G )
Seems something goes wrong, I have lost about 15 % of disk space at this
moment, with the disk relatively empty.
Should I play with cluster size or any other parameters ?
