Sounds like a bad boot image (zImage) - be it bad disk (which you
say is not the case), or bad image to start with. When you say
"checked them" - did you actually try to boot from them on another
PC?
If the answer to the above is YES, then I'd check:
1. Your DRAM (as Jonathan mentioned), and L2 Cache.
2. Your CPU rating (is it overclocked?) and voltage jumpers (STD vs. VRE vs.
low voltage...).
3. Your BIOS version. I heard some things about this sort of problem happening
because of bad PCI bus handling by some early BIOS's.
As you can see, the immediate thing to check is whether your boot/root
actually boot for you on a different PC.
