Optimal version of GCC to use for Kernel compile is 2.7.2.3.

However, you probably want to take Ariel's advice and rather backup the
system and do a Red Hat install.

If you want to take the die-hard hacker route, here's what you're going to
have to upgrade:

Linux 1.2 distributions were aout binary based.  The new kernels can only
be compiled as ELF.  Get the ELF-Howto and read on how to upgrade.  (This
in itself is a massive task)

You're going to have to at some stage upgrade to glibc.  Although not
required yet, it is fast becoming a standard.  This upgrade is perhaps
even more tedious than the above.

Alot of programs on your system were built against older kernel headers,
such that the structures they used no longer exist or have been changed.
Read /usr/src/Documentation/Changes to see what versions the new kernel
needs of the various packages.

This file also highlights what other things you'll need to upgrade for the
new kernel.
